Welcome to Runite Me Ltd., ("Company", "we", "us", "our"). We provide a QR code tracking solution, including generating QR codes and offering printing services for wristbands ("Services"), to our clients ("Client", "you", "your"). By accessing and using our Services, you agree to be bound by the following terms and conditions ("Terms"). Please read these Terms carefully before using our Services.

Definitions

1. "Service(s)" refers to our QR code tracking software, including all features, functionalities, and services provided by us.
2. "Client(s)" refers to event organisers or other entities that use our Services.
3. "QR Code(s)" refers to the unique quick response codes generated by our Service for tracking purposes.
4. "Wristband(s)" refers to the physical bands printed with QR Codes provided to attendees of events.

Use of Service

1. License: We grant you a non-exclusive, non-transferable license to use the Services in accordance with these Terms.
2. Restrictions: You may not reverse engineer, decompile, or disassemble the Services, nor may you create derivative works based on the Services.

Account Registration and Management

1. Account Creation: You must register for an account to access certain features of the Service.
2. Responsibilities: You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.

Intellectual Property Rights

All intellectual property rights in the Services, including but not limited to software, QR Codes, and related documentation, are owned by us or our

licensors. You are granted a license to use these materials as part of the Services and not for any other purpose.

Privacy and Data Protection

We comply with the General Data Protection Regulation (GDPR) and other relevant data protection laws. We collect, use, and protect personal data provided by you and your event attendees in accordance with our Privacy Policy, which forms part of these Terms.

Printing of Wristbands

1. Self-Printing: If you choose to print Wristbands using QR Codes provided by us, you must ensure that the printing meets our quality standards.
2. Quality Standards: We will provide specifications for the printing of Wristbands to ensure the functionality and readability of QR Codes.

Fees and Payment

Fees for the Services will be as specified at the time of order. Payment terms will be provided on our invoice and must be complied with. We reserve the right to suspend or cancel the Services if invoices remain unpaid 14 days after the payment due date.

Term and Termination Service Duration

The tracking service provided under these Terms is limited to a period of 12
months from the date of purchase ("Service Period"). Upon expiry of the initial Service Period, you have the option to apply for an extension of the service for a further period, subject to additional charges as specified by us at the time of application. The terms for any such extension will be subject to a new agreement or an amendment to these Terms, as determined by us.

Non-Payment Cancellation

We reserve the right to suspend or cancel the tracking service if any invoice issued to you for the service remains unpaid. Suspension or cancellation for non-payment will occur following a notice period of 14 days after the payment due date, during which you will have the opportunity to settle the outstanding invoice. If payment is not received within this notice period, the service may be suspended or cancelled without further notice, and you will lose access to the tracking service and any data associated with it.

Termination for Breach

Either party may terminate these Terms if the other party commits a material breach of any of these Terms and fails to cure such breach within 30 days after

receiving written notice of such breach. Upon termination, you must cease all use of the Services, and any outstanding payments to us will become immediately due.

Liability and Indemnification

1. Limitation of Liability: We will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the Services.
2. Indemnification: You agree to indemnify us against any claims arising from your use of the Services.

Warranties and Disclaimers

The Services are provided "as is" without any warranties, express or implied, including the warranty of merchantability or fitness for a particular purpose.

Governing Law and Jurisdiction

These Terms shall be governed by the laws of the United Kingdom of Great Britain. Disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

Miscellaneous

1. Amendments: We reserve the right to amend these Terms at any time.
2. Severability: If any provision of these Terms is found to be invalid, the remaining provisions will remain in full force and effect.
